GearEnd User License Agreement
This End User License Agreement ("EULA") is a legal agreement between you ("Licensee") and GearShire ("Licensor") for the use of the GearShire mobile application ("App"). By downloading, installing, or using the App, you agree to be bound by this EULA.
1. License Grant
GearShire grants you a non-exclusive, non-transferable, revocable license to install and use the App on devices you own or control, solely for your personal, non-commercial use in accordance with the App's intended purpose.
2. Restrictions
You may not:
- Copy, modify, decompile, reverse engineer, or disassemble the App;
- Rent, lease, lend, sell, or sublicense the App;
- Use the App for any unlawful purpose or in violation of any applicable law;
- Remove or alter any copyright or proprietary notices;
- Use the App in a way that could damage, disable, or impair the Service.
3. Ownership
The App, including all intellectual property rights, is and remains the property of GearShire. This EULA does not transfer any ownership rights to you. GearShire reserves all rights not expressly granted.
4. Updates
GearShire may from time to time provide updates to the App. Updates may be required for continued use. This EULA governs any updates unless separate terms accompany the update.
5. Third-Party Software
The App may incorporate third-party software components governed by separate licenses. Those components are provided on an "as-is" basis under their respective terms.
6. Termination
This EULA is effective until terminated. GearShire may terminate it at any time if you fail to comply with its terms. Upon termination, you must uninstall and destroy all copies of the App. Sections 2, 3, 6, 7, 8, and 9 survive termination.
7. Disclaimer of Warranties
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. GEARSHIRE DOES NOT GUARANTEE THAT THE APP WILL BE UNINTERRUPTED OR ERROR-FREE.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GEARSHIRE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THE USE OF THE APP. GEARSHIRE'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE APP, IF ANY.
9. Governing Law
This EULA is governed by the laws of the jurisdiction in which GearShire is established, without regard to conflict-of-law principles. Any disputes shall be resolved in the courts of that jurisdiction.
